Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Digital Trade d.o.o. ("Company"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

2. Services

Digital Trade provides AI-powered digital solutions including but not limited to automation consulting, AI education and training, content production, and full-service digital agency work. The specific scope of services will be defined in individual project agreements.

3. Client Obligations

As a client, you agree to:

• Provide accurate and complete information as required for service delivery
• Respond to communications and requests in a timely manner
• Make payments according to the agreed-upon schedule
• Respect intellectual property rights and confidentiality obligations

4. Intellectual Property

Upon full payment, clients receive ownership of all custom deliverables created specifically for their project. Digital Trade retains the right to use general methodologies, tools, and frameworks developed during the engagement. Pre-existing intellectual property remains with its original owner.

5. Payment Terms

Payment terms are specified in individual project agreements. Unless otherwise agreed:

• An initial deposit is required before work begins
• Invoices are payable within 14 days of issuance
• Late payments may incur interest at the statutory rate
• All prices are exclusive of applicable taxes

6. Limitation of Liability

To the maximum extent permitted by law, Digital Trade shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim.

7. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement. This obligation survives the termination of the agreement for a period of two (2) years.

8. Termination

Either party may terminate the agreement with 30 days written notice. In case of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, all completed work and deliverables paid for shall be transferred to the client.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction. Any disputes shall be resolved through good-faith negotiation before pursuing formal legal remedies.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services constitutes acceptance of the updated terms.
